In order to meet the requirements of laws, regulations, and the Articles of Organization, to facilitate management of the Charity by the Board, regulate and improve internal governance, and reach a reasonable balance between centralized decision-making and decentralized management, the Charity will establish a strict but open internal authorization system, set up efficient, orderly, and convenient business management processes based on the DAF Account Service System, and will make sure that the Charity participates in public welfare activities in an open and transparent manner.
(1)Basic Authorization: Basic authorization refers to the granting of powers and privileges to the authorized person regarding staff management, financial management, and basic business operations. Basic authorization allows for basic authorities. Basic authorization of the Charity specifically refers to the basic authorization granted by the Board of Directors to the members of the Executive Committee of the Board of Directors and the Secretary-General, the basic authorization granted by the Executive Committee of the Board of Directors to the Vice Chairman of the Board, the Executive Chairman of the Board, and Executive Secretary-General, and the basic authorization granted by the Secretary-General to the Chief Contribution Officer, the Chief Investment Officer, and the Chief Granting Officer.
(2)Letters of Authorization Signed and Issued by the Chairman of the Board: The Chairman of the Board shall sign and issue the Letter of Appointment and Authorization of China DAF Charity to the relevant person, setting out the name of the authorized person, the scope and term of the authorization, and other relevant information.
(3)Engaging in Relevant Activities Within the Scope of Authorization: Subject to the relevant laws and regulations, the Articles of Organization and other internal rules of the Charity, the Vice Chairman of the Board, Executive Chairman of the Board, members of the Executive Committee of the Board of Directors, Secretary-General, Executive Secretary-General, Chief Contribution Officer, Chief Investment Officer, Chief Grant-Making Officer, Chief Spokesperson, Spokespersons, and Chief Financial Officer of the Charity have the right to engage in relevant activities on behalf of the Charity within the scope of authorization prescribed in their respective Letters of Appointment and Authorization of the China DAF Charity.
